ACCEPTANCE OF TERMS OF USE

You agree to use this Site only for lawful purposes, and in a manner which does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Site by, any third party. If Horizons reasonably determines that you have violated or are likely to violate the foregoing prohibitions, Horizons may take any action it reasonably deems necessary to cure or prevent the violation, including without limitation, the immediate removal from this Site of the related materials.

If these Terms of Use are not accepted in full, the use of this Site must be terminated immediately.

If you violate these Terms of Use, your authorization to use the Site is automatically revoked and you must destroy any copies of the content that you have made. You acknowledge and agree that the unauthorized use of the content and materials on or accessible via the Site could cause irreparable harm to Horizons and that in the event of such unauthorized use or threatened use, Horizons shall be entitled to an injunction in addition to any other remedies available at law or in equity.

In no event will Horizons be liable for any damages including, without limitation, indirect or consequential damages, or any damages whatsoever arising from the use or in connection with such use or loss of use of the Site, whether in contract or in negligence or any other theory of liability. Horizons does not warrant that this Site or the functions contained in the material contained in this Site will be uninterrupted or error free, that defects will be corrected, or that this Site or the server that makes it available are free of viruses or bugs or represents the full functionality, accuracy and reliability of the materials.

You may be required to register to access certain content on the Site. You will be informed of any additional or modified terms governing your use of such content at the time of registration, and your access to and use of such content will be subject to those additional or modified terms. If you register for an individual account, you may not share your user name or password with anyone else. If you register or pay for an organizational account, you may not share the organization’s user name or password with anyone outside of the organization.

Commercial use or publication of all or any items displayed on the Site is strictly prohibited without prior authorization from Horizons. Nothing contained herein shall be construed as conferring any license by Horizons to use any item displayed.

Documents and other content may be copied for personal use only on the condition that copyright and source indications are also copied, no modifications are made and the document is copied entirely. However, some documents and photos may have been published on this site with the permission of the relevant copyright owners (who are not Horizons). All rights in these documents are reserved to their owners, and permission to copy or otherwise exploit them must be requested and obtained directly from the copyright owners (the sources are indicated within these documents/photographs).

Horizons respects the rights of all copyright holders and has adopted and implemented a policy that provides for the termination in appropriate circumstances of users who post materials on the Site that infringe the rights of copyright holders. We will take reasonable steps to promptly notify the user whose submission was removed or disabled that we have removed or disabled access to such content.

If you believe that your user submission that was removed (or to which access was disabled) is not infringing, or that you have the authorization from the copyright owner, the copyright owner’s agent, or pursuant to applicable law, to post and use the content in your user submission, you may send a counter-notice containing the following information to Horizons:

If we receive a counter-notice, we may send a copy of the counter-notice to the original complaining party informing that person that we may restore the removed content or cease disabling access to it in 10 business days. Unless the copyright owner files an action seeking a court order against the member or user, we may replace the removed content and cease disabling access to it in not less than 10, nor more than 14, business days after receipt of the counter-notice.

NON-CONFIDENTIALITY

Any communication, material, or other user-generated content that you transmit to, or post on, any public area of the Site, including any data, questions, comments, suggestions, photographs, blog entries, and the like, is, and will be treated as, non-confidential and non-proprietary information. The foregoing applies to content directly uploaded to the site and to content that is transmitted to Horizons for uploading to the site.

CONFLICT BETWEEN TERMS OF USE AND ANY OTHER RULES

If there is any conflict between these general Terms of Use and any rules and/or specific terms of use appearing on this site relating to specific material then the latter shall prevail.

GOVERNING LAW

This Site is administered by Horizons from its offices in Massachusetts. These Terms of Use shall be governed by and construed in accordance with the laws of Massachusetts. Any disputes relating to the use of this Site shall be subject to the exclusive jurisdiction of the Courts of Massachusetts or the United States District Court of Massachusetts.

If any term or condition set forth herein is found to be invalid by a court of competent jurisdiction, the remainder of the terms and conditions shall remain in full force and effect.
